第一条 适用范围。本条款适用于深圳市百千成电子有限公司（以下简称“本公司”）的全部报价、订单及供货，构成本公司供货条件的组成部分。客户向本公司下达订单，即视为接受本条款。
1. Scope. These Terms apply to all quotations, orders and supplies of Shenzhen Baiqiancheng Electronic Co., Ltd. (“the Company”) and form part of the Company’s conditions of supply. By placing an order with the Company, the Customer accepts these Terms.
第二条 目的地与相关方。本公司不承接最终目的地或最终用户位于高风险目的地（包括但不限于俄罗斯联邦和白俄罗斯共和国）的订单，不承接涉及受限制国家和地区、受限制企业、组织及个人的业务。本公司在不违反中国适用法律法规的前提下，遵守适用于本公司及相关交易的出口管制和贸易限制规定，并对相关业务进行必要审查。客户声明并承诺：客户本人、最终用户及交易相关方均不属于前述受限制对象；不将本公司产品转售、转移或再出口至前述目的地、最终用户或相关方。
2. Destinations and parties. The Company does not accept orders whose final destination or end user is located in a high-risk destination (including, without limitation, the Russian Federation and the Republic of Belarus), nor business involving restricted countries or regions, or restricted entities, organisations or individuals. Without prejudice to applicable laws and regulations of the People’s Republic of China, the Company complies with the export control and trade restriction rules applicable to the Company and to the relevant transactions and conducts the necessary review of such business. The Customer represents and undertakes that neither the Customer nor any end user or other party to the transaction is a restricted party as described above, and that the Company’s products will not be resold, transferred or re-exported to any such destination, end user or party.
第三条 最终用途。本公司以民用电子制造服务为主要业务方向，不承接军事用途的订单。客户声明并承诺本公司产品不用于军事最终用途，不提供给军事最终用户。
3. End use. The Company’s principal business is civilian electronics manufacturing services; the Company does not accept orders for military use. The Customer represents and undertakes that the Company’s products will not be used for military end uses or supplied to military end users.
第四条 审查与拒绝。本公司已建立客户与最终用途审查制度，对所有订单进行最终用户、最终用途、目的地及异常转运等风险审查。对不符合本公司合规政策的订单，本公司有权拒绝承接；对已承接的订单，本公司有权暂停或取消，且不因此承担责任。客户应根据本公司要求提供审查所需的资料。
4. Screening and refusal. The Company has implemented a customer and end-use screening procedure under which all orders are reviewed for end user, end use, destination and diversion risk. The Company may decline any order that does not meet its compliance policy and may suspend or cancel any accepted order, without liability. The Customer shall provide the information reasonably required by the Company for such review.
第五条 名义与授权。本公司不授权任何第三方以本公司名义在高风险目的地开展业务。本公司对第三方以本公司名义或将本公司列为制造商办理认证、登记、申报或试验的授权，一律以本公司出具的书面授权文件为准；未持有该等书面授权文件的任何第三方，均未获得本公司授权。
5. Name and authorisation. The Company does not authorise any third party to conduct business in the Company’s name in high-risk destinations. Any authorisation for a third party to obtain product certifications, registrations or declarations, to make filings or to conduct testing in the Company’s name or naming the Company as manufacturer is given solely by a written authorisation document issued by the Company; a third party not holding such a document has not been authorised by the Company.
第六条 联系与文本。任何机构如需核实本条款所述事项，可通过以下邮箱联系本公司合规负责人：jacky@bqcdz.com。本条款以中英文发布；如两种文本存在歧义或不一致，以中文文本为准。本条款自生效日期起适用，本公司将根据情况更新并标注版本号。
6. Contact and language. Any institution wishing to verify the matters stated in these Terms may contact the Company’s compliance officer at jacky@bqcdz.com. These Terms are published in Chinese and English; in the event of any inconsistency, the Chinese text shall prevail. These Terms apply from the effective date above and will be updated with a new version number as appropriate.
